ACADEMY TERMS & CONDITIONS
FC45 ACADEMY REGISTRATION – TERMS AND CONDITIONS
This page (together with the documents referred to on it) tells you the terms and conditions on which we identified on the Registration Form (FC45 Academy and/or Group45 Limited) will provide the program specified in the Registration Form to you (the “Program”). Please read these terms and conditions carefully before registration any Program. You should understand that by registration a Program, you agree to be bound by these terms and conditions. You should print a copy of these terms and conditions for future reference.
1. INFORMATION ABOUT US

2. YOUR STATUS
By placing a registration, you warrant that:
(a) You are legally capable of entering into binding contracts; and
(b) You are the parent or guardian of the child you are registering; and
(c ) You give full consent for this child to participate in football training sessions and/or match/s conducted by FC45 Academy; and
(d) You allow us to take photos and videos of this child during the Program, and to use such photos and videos for information and/or promotion- al purposes worldwide and in all types of media.
(e) You agree to pay the required monthly/term fees regardless of attendance of your child unless a 30-day notice has been emailed to confirm your child’s disenrollment from the FC45 Academy.
3. REGISTRATION PROCESS
When you register for a program the contract between Group45 Limited, the organization running FC45 Academy/ We, and you (the “Contract”) will be formed when we accept your registration. Please note that places on Program are subject to availability. Your preferred Program may not be available in which case you will be notified of an alternative Program (s) if available. No payment will be taken for a registration until such time we accept your registration.The actual staging of a Program is subject to the total number of participants being sufficient, as determined by us from time to time and at our sole discretion. Should a Program not be conducted due to the insufficient registrations, no payment will be taken. Notice of a confirmed registration will be sent to you by email where possible (or alternatively by post) as soon as details of your payment have been processed and entered onto our system.The Contract will relate only to the Program.
4. PRICE AND PAYMENT
The price of the Program s will be as quoted on the Registration Form from time to time, except in cases of obvious error. These prices do not include any relevant taxes, which will be added to the total amount due if applicable. Prices are liable to change at any time, but changes will not affect registrations for which you have already paid. Payment for Program/s can be made by credit/debit card or online bank transfer. If you pay using a credit/debitcard, your credit/debit card will be charged on the same day we confirm your registration.
You agree to pay the required monthly/term fees regardless of attendance of your child unless a 30-day notice has been emailed to confirm your child’s disenrollment from the FC45 Academy.
5. THE PROGRAM
We treat as a priority the safety and well-being of all children attending FC45 Academy. You agree with the rules and code of conduct for players, parents and guardian. Any abuse (physical or verbal) against other players, coaches, staff and members of the public will be treated with ZERO tolerance and will result in the immediate removal from the football training sessions and/or match/s conducted by FC45 Academy. We reserve the right to remove from a Program any person who is found to be engaged in offensive activity, the bullying of others, disruptive behaviour or for any other reason where we consider a person’s behaviour is detrimental to the interests or safety of the persons attending a Program. In the event of your removal from a Program for any of these reasons no refund of any fees paid by you shall be made.
6. CANCELLATION AND REFUNDS POLICY
Full refund on cancellation, if made within 5 days from the date of registration, provided the session hasn’t started. (The one time registration fee will not be refunded). All Programs, activities, venues and travel arrangements are subject to change according to weather, venue availability, a satisfactory level of participants or other factors beyond our control. As such, we may cancel or change any Program/s, should this be necessary for these reasons. In case a centre shuts down for unavoidable reasons, we will use reasonable endeavours to find an alternate centre within 3 months of the centre’s closure. Best efforts would be made to find a centre in the vicinity and/or within a 10 km radius. You are responsible for arranging and paying for suitable insurance to cover any injury or illness to the participant as, unfortunately, we cannot provide a refund under these circumstances. For avoidance of doubt, no refund is permitted for participant’s failure to attend the Program. In all cases refunds of money received from you will usually be made by the same method originally used by you to pay for your Program.
6.1 Fees & Refunds Policy
6.1.1. General
Academy fees are paid per term as per the schedule below. Payment can be made by bank transfer (EFT) into the account details provided in the invoice. The balance of fees must be settled, in full, by the first day of each term unless a monthly payment option has been requested. Penal- ties will be charged for late payment of fees. (See 8. Late Payments)
6.1.2. Monthly Payments
The option to pay fees monthly is available, invoices will be sent to remind parents of any due payments throughout the term. Monthly payments are due on/or before the last day of each month. A 5% Penalty fee will be levied on late payments. Please contact the office if you would like to have this option otherwise you will be charged per term.
6.1.3. New Students
A non-refundable P200.00 assessment/registration fee will be required before the registration process to determine whether the child is eligible to join the academy. Assessment is for children ages range 8 to 17 years. Children aged 3 to 7 years do not require assessment but a non-refund- able administrative fee of P100.00 fee is required upon registration including full term fees. The payment is taken as your commitment to having your child join the academy. The balance of the term fee is due when an offer of placement is made, all fees must be paid before the child will be admitted to lessons. Fees will then be due at the beginning of each term or month (based on what payment plan has been discussed with the office.) Please note that registration and/or assessment does not secure a child his or her place in the academy. Placement is in accordance with the number of children admitted in the academy, they may be placed on a waiting list and be called when and if there is an opening.
6.1.4. Invoicing
Invoices will be sent out via email the 2-weeks before the term begins or on the 24th of each month depending on your payment plan. These are based on contact information given upon registration, if your information changes please make sure to let the office know.
6.1.5. Pro-Rata Fees
If a child joins the academy during the term/month, a reduction may be offered on the term fee basing on the remaining number of days or weeks towards the end of the term.
6.1.6. Notice of Withdrawal from Academy
We require 14 days notice before a child is withdrawn from the academy. All notices of withdrawal need to be in writing, (email or letter) and submitted to the Academy’s administration. One full month’s fee will be charged if the correct notice is not given.
6.1.7. Post-Dated Cheques
We DO NOT ACCEPT cheques in settlement of current term fees. Should further clarification be required, please contact any member of Management or Finance Department.
6.1.8. Late Payments
A 5% Penalty fee will be imposed on all unpaid balances after the 7th day of each term or month.
7. DISENROLLMENT
By enrolling your child in our program you acknowledge and agree to our policies. You will be continuously enrolled in our program that has termly or monthly billing until you formally disenroll in writing. Disenrolling your child does not guarantee automatic return, your child will be placed on a waiting list and the management may decline enrolling your child under and circumstances deemed to be disrupting the operations of FC45 Academy.
DISENROLLMENT PROCEDURE
If you choose to disenroll for the upcoming month you must inform the academy by 30 days before the next invoice is due. A disenrollment letter must be emailed to [email protected] We will not issue credit if you disenroll during the month or term when there are sessions remaining. You will receive a confirmation of disenrollment no later than 48hrs after sending your request.
8. LIABILITY
You assume full responsibility for any claims, losses, costs, articles or liabilities arising out of or related to my child’s participation in the football training sessions and/or match/s. You accept that these activities carry with them some degree of risk both to person and property and knowing this risk, and still desire for your child to participate in these sessions. In cases of medical emergency or in the unlikely event of an accident, you release, waive and hold harmless the FC45 Academy, Group45 Limited, including all member companies and its affiliates thereof, coaches, technical staff and directors from any claims, losses, damages or expenses which may arise during the football training sessions and/or match/s. We are not responsible for indirect losses which happen as a side effect of the main loss or damage even if such losses result from a deliberate breach of these terms that would entitle you to terminate the Contract.
You shall be liable for the cost of any damage to our property or facilities caused by you or by persons under your control.
9. NOTICES
Other than notices of cancellation sent under clause 6, all notices given by you to us must be given to us to Group45 Limited at [email protected] co.bw. Notices will be deemed received and properly served 24 hours after an e-mail is sent, or 3 days after the date of posting of any letter.
10. TRANSFER OF RIGHTS AND OBLIGATIONS
You may not transfer, assign, charge or otherwise dispose of a Contract, or any of your rights or obligations arising under it, without the prior written consent from us. Our Operator may transfer, assign, charge, sub-contract or otherwise dispose of a Contract, or any of our rights or obligations arising under it, at any time during the term of the Contract.
11. EVENTS OUTSIDE OUR CONTROL
We will not be liable or responsible for any failure to perform, or delay in performance of, any obligations under a Contract that is caused by events outside our reasonable control (“Force Majeure Event”).
A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:
(a) Strikes, lock-outs or other industrial action.
(b) Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war.
(c) Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster.
(d) Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
(e) Impossibility of the use of public or private telecommunications networks.
(f) The acts, decrees, legislation, regulations or restrictions of any government.

As such, we may cancel or change any Program/s, should this be necessary for these reasons. You are responsible for arranging and paying for suitable insurance to cover any injury or illness to the participant as, unfortunately, we cannot provide a refund under these circumstances. For avoidance of doubt, no refund is permitted for participant’s failure to attend the Program. Performance under any Contract is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which the obligations under the Contract may be performed despite the Force Majeure Event.
12. WAIVER
No waiver by us of any of these terms and conditions shall be effective unless it is expressly stated to be a waiver and is communicated to you by notice in writing.
13. SEVERABILITY
If any of these terms or any provisions of a Contract are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
14. ENTIRE AGREEMENT
These terms and conditions, the Registration Form and any other document expressly referred to in them represent the entire agreement between us in relation to the subject matter of any Contract and supersede any prior agreement, understanding or arrangement between us, whether oral or in writing.
15. LAW AND JURISDICTION
Contracts for the purchase of Program s and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) will be governed by Botswana law. Any dispute or claim arising out of or in connection with such Contracts or their formation (including non-contractual disputes or claims) shall be subject to the non-exclusive jurisdiction of the courts of Gaborone – Botswana.
